This End-User License Agreement (EULA) is a legal agreement between the Licensee (either an individual or a single entity) and the mentioned author (Cameyo) of this Software for the software product identified above, which includes computer software and may include associated media, printed materials, and “online” or electronic documentation (“SOFTWARE PRODUCT”). 

By installing, copying, or otherwise using the SOFTWARE PRODUCT or SERVICE PRODUCT, the Licensee agree to be bounded by the terms of this EULA. 

Definitions

In this Agreement, the following terms shall have the meanings indicated, both the singular and plural forms and all verb forms of these terms are defined:

“Software” means all of the contents of the files or other media for which this Agreement is provided, including but not limited to a license key and software setup files and modified versions, updates, additions, and copies of the software, if any, licensed to you by Licensor.

“Use” implies to access, download, install, copy or get benefit from using the software in accordance with the Documentation.

“User” is a person who uses the Trial version of the software or a license purchased through our own store or Reseller.

“Trial version” means a version of the software that can be used for 30 days with the aim of demonstration and evaluation. A Trial version allows to test all software features before having to purchase a copy.

“Activate” means turning a copy of the trial version into a licensed version of the same application by entering the license key provided by Licensor into the app.

General

Licensor grants you a non-exclusive right to use software under the terms of the license. Licensor reserves all rights not expressly granted to you. Licensor retains the ownership of software. The software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

Permitted uses and restrictions

Subject to your compliance with this EULA, Licensor grants you a non-exclusive, limited, revocable, non-transferable license to use the Software solely as follows:

1.The trial version of the software may be installed and used for the purpose of trying and evaluating this software.

2.After the trial period of using the software is over (after 30 unique days of actual use), a user is not allowed to use the trial version where Trial was previously installed and expired.

3.A license purchased allows the licensee to download and use the software on his/her system. A single user license may be installed on up to 2 computers, but cannot be used by multiple people.

4.If the user purchased a volume license, the number of activations should not exceed the number of licenses purchased. If the user exceeds the limit, Licensor reserves the right to block the license key from future use.

5.Unauthorized copying of the software is expressly forbidden.

6.The distribution of the license or Trial of the software does not entitle any compensation from the licensor.

7.The user of the software may not rent, lease, or lend the software to anyone.

8.The user of the software may not copy, adapt, translate, decompile, reverse engineer, disassemble, and modify the software.

9.You may not assign, rent, lease, lend, sell, redistribute or sub license this software.

License Type

1.Perpetual Licenses

A perpetual license will allow the customer to use the licensed software indefinitely.For the year, the perpetual license also entitles the customer to download all updates to the software and to receive technical support. After the one year period ends, the customer can choose to remain with the last version downloaded or to purchase a three year Updates & Support package, for 30% of the license price. There are no penalties for letting Updates & Support lapse for a while before purchasing an update package.

2.Subscription License 

A monthly subscription license will allow the customer to use the licensed software or service for one month, and entitle the customer to download all updates to the software. After the one month period ends, the software or service will no longer function unless a new license is purchased. The license will automatically renew and the customer will be charged unless canceled prior to the next monthly license period. 

An annual subscription license will allow the customer to use the licensed software or service for one year, and entitle the customer to download all updates to the software. After the one year period ends, the software or service will no longer function unless a new license is purchased. The license will automatically renew and the customer will be charged unless canceled prior to the next yearly license period. 

Acceptable Use

1.Security Violations. You may not use the Services to violate the security or integrity of any network, computer or communications system, software application, or network computing device (collectively “System”). Prohibited activities include: 

  • Unauthorized Access – Accessing or using any System without permission, including attempting to probe, scan, or test the vulnerability of a System or to breach any security or authentication measure used by the System.
  • Interception – Monitoring of data or traffic on a System without permission.

2.Illegal, Harmful, or Offensive Content. You may not use, or encourage, promote, facilitate or instruct others to use the Services, System, or Site for any illegal, harmful or offensive use, or to transmit, store, display, distribute or otherwise make available content that is illegal, harmful, or offensive. Prohibited Activities include:

  • Illegal Activities – Any illegal activities, including advertising, transmitting, or otherwise making available gambling sites or services or disseminating, promoting or facilitating child pornography.
  • Harmful or Fraudulent Activities – Activities that may be harmful to others, our operations or reputation, including offering or disseminating fraudulent goods, services, schemes, or promotions or otherwise engaging in deceptive practices
  • Infringing Content – Content that infringes or misappropriates the intellectual property or proprietary rights of other.
  • Offensive Content – Content that is defamatory, obscene, abusive, excessively violent, incites violence, harassing, unfair or deceptive, creates a risk to someone’s health and safety, compromises national security, improperly exposes trade secrets or confidential information, promotes illegal drugs, violates export control laws, is invasive of privacy, or otherwise objectionable, including content that constitutes child pornography, relates to bestiality, or depicts non-consensual sex acts.
  • Harmful Content – Content or other computer technology that may damage, interfere with, surreptitiously intercept, or expropriate any System, program, or data, including viruses, Trojan horses, worms, time bombs, or cancel bots.

3.Copyrighted Materials. In accordance with the Digital Millennium Copyright Act of 1998, the text of which may be found on the U.S. Copyright Office website at http://www.copyright.gov/legislation/dmca.pdf we will respond expeditiously to any claims of copyright infringement related to our services if such claims are properly reported.

4.Content. You are solely and exclusively responsible for any material you distribute, copy, create or otherwise make available through our Services or the System.

Copyright

All title and copyrights in and to the SOFTWARE PRODUCT or SERVICE PRODUCT (including but not limited to any images, photographs, clipart, libraries, and examples incorporated into the SOFTWARE PRODUCT or SERVICE PRODUCT), the accompanying printed materials, and any copies of the SOFTWARE PRODUCT or SERVICE PRODUCT are owned by the Author of this Software or Service. The SOFTWARE PRODUCT or SERVICE PRODUCT is protected by copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT or SERVICE PRODUCT like any other copyrighted material. The licensed users or licensed company can use all functions, example, templates, clipart, libraries and symbols in the SOFTWARE PRODUCT or SERVICE PRODUCT to create new diagrams and distribute the diagrams.

Consent to use of data

You agree that Licensor and its subsidiaries may collect and use technical and related information in order to improve our products or to provide services or technologies to you. A receiving party shall promptly notify the disclosing party upon becoming aware of a breach or threatened breach hereunder, and shall cooperate with any reasonable request of the disclosing party in enforcing its rights.

Termination

The trial version of the software is effective until terminated. Your rights under this version will terminate automatically after the trial period is over. Without prejudice to any other rights, the licensor of this Software may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT or SERVICE PRODUCT and all of its component parts.

Disclaimer of warranties

You use of the software at your sole risk. The Software and accompanying written materials are provided on an “as is” and “as available” basis without warranty of any kind, express or implied of any kind Licensor specifically disclaims the warranties of fitness for a particular purpose and merchantability. No oral or written advice given by Licensor, its dealers, distributors, agents or employees shall create a warranty or in any way increase the scope if this warranty and you may not rely upon such information or advice.

Liability limitation

Licensor or anyone else who has been involved in the creation, production, or delivery of this software cannot be liable for, and shall not pay any amount of incidental, consequential, direct or indirect damages (including damage for loss of profit, business interruption, loss of data, and the like arising out of the use or inability to use the software). You assume the entire risk as to the quality and performance of the software.
